Verdane private equity funds seek to be the preferred investor in and active owner of technology-enabled growth companies in Northern Europe. They provide flexible growth capital to fast-growing software, consumer internet, energy or high-technology industry businesses. The funds are distinctive in that they can invest either in a single company or in portfolios of companies. Verdane funds have invested in over 300 holdings over the past 15 years. Verdane Capital Advisors has 30 employees working out of offices in Oslo, Stockholm, Copenhagen, Helsinki and London.
This is a new position in Verdane’s organization and as such it is a unique opportunity for the right person to create a legal and compliance function, adapted to a modern and entrepreneurial Nordic private equity company.
The right person has an interest in the private equity industry and M&A activities; in being a key player in a small and efficient team supporting the business along all dimensions of the value chain. You will support your colleagues throughout the small but nimble organisation in the array of legal matters germane to a private equity company. This can range from handling share transfers, shareholder agreements, and new fund structures, to questions relating to compliance, tax and VAT. You will support the investment team during the investment process, active ownership, and in the exit processes. In close collaboration with the Controller you will oversee compliance with industry specific regulations such as AIFMD, AML, and KYC. The position is based in Stockholm, but some travel to Oslo will be necessary.
The role requires an outgoing and humble personality with an eye for detail; a doer who gets things done. You are curious and driven by the desire to learn and develop. You are independent but also a valued team-player looking to advance the common goal.
PROFESSIONAL EXPERIENCE / QUALIFICATIONS
- Law Degree and at least 5 years of experience
- You must have good knowledge of company law, the Companies Act, and the regulatory frameworks pertaining to financial structures within private equity, e.g.; AIFMD, AML, etc.
- Experience and legal advice in M & A and corporate development.
- It is desirable that you have knowledge or experience in tax and VAT.
